OMRON to Acquire iCARE

Launching Corporate Health Solutions Business on full scale

OMRON Corporation (HQ: Shimogyo-ku, Kyoto; President and CEO: Junta Tsujinaga; hereinafter "OMRON") announced today that it has concluded a stock purchase agreement with all shareholders of iCARE Co., Ltd. (HQ: Shinagawa-ku, Tokyo; Representative Director and CEO: Yota Yamada; hereinafter "iCARE"), under which it will acquire 100% of iCARE's outstanding shares to make a full-fledged start in the corporate health solutions business. By making iCARE a wholly owned subsidiary, OMRON will strengthen its corporate health solutions business, which supports companies in fully utilizing their human capital, thereby accelerating the expansion of its data solutions business in the healthcare field and contributing to "extension of healthy life expectancy," one of the goals set forth in its long-term vision, SF2030.

笆 Background and Purpose of the Share Acquisition
As many companies in Japan face a rapidly aging workforce and serious labor shortages, promoting employee wellness has a significant impact on their efforts to increase productivity and improve the financial position of corporate-run health insurance societies. Against this backdrop, the concept of "Health & Productivity Management," which advocates management-level strategies to promote employee wellness, is drawing attention.

With the aim of creating data-based solutions in the field of health and productivity management, OMRON concluded a capital and business alliance agreement with iCARE in July 2024. By acquiring 100% ownership of iCARE, OMRON will gain access to employee health data retained by the company, as well as expertise and professional networks in the field of industrial health, to drive the corporate health solutions business.

笆 Initiatives and Future Outlook for the Corporate Health Business Division
In June 2023, OMRON established the Health & Productivity Management Alliance to implement and disseminate data-based health and productivity management, on a mission to "revitalize Japanese companies and contribute to sustainable company-run health insurance societies through employee wellness."

On the business front, the Corporate Health Business Division is developing services to identify, improve, and reassess organizational wellness issues based on data, thereby helping client companies maximize productivity. By making iCARE its wholly owned subsidiary, OMRON is set to accelerate the growth of iCARE's sales and profits under the OMRON Group. At the same time, by expediting the development of new services that leverage both companies' expertise, OMRON aims to begin providing these services sometime in fiscal 2026. As part of the efforts to develop the services, OMRON plans to conduct verification tests for data analysis starting this November.

Going forward, OMRON will extend the scope of its wellness initiatives from organizational wellness challenges to employees' personal wellness problems; this will help the company to identify employees' physical and mental conditions in a timely manner, promoting their well-being. and allowing them to reach their full potential at work. Furthermore, by strengthening collaboration with a Group company JMDC Inc. (HQ: Minato-ku, Tokyo; Representative Director, President and CEO: Ryo Noguchi; hereinafter "JMDC"), OMRON will pursue new business opportunities for the Group by leveraging JMDC's analytical technology in the field of company-run health insurance.
