Tokyo, Japan - The Board of Directors of OMRON Corporation (TOKYO: 6645; ADR: OMRNY) today resolved to announce a planned year-end dividend of 23.00 yen for fiscal 2012 (ending March 31, 2013).

  1. Reason for Dividend Forecast

On May 10, 2013, OMRON will celebrate the 80th anniversary of its founding. OMRON is fully aware that this longevity is due in large part to the support of shareholders and other stakeholders.

As an expression of gratitude to shareholders, OMRON is planning a special dividend of 5 yen per share in commemoration of the Company's 80th anniversary, in addition to the ordinary year-end dividend for fiscal 2012.

In line with its policy on the distribution of profits, which targets a payout ratio of 20% or higher and makes profit distributions with a DOE target of 2%, OMRON plans to pay an ordinary year-end dividend of 18 yen per share in fiscal 2012, which when added to the commemorative dividend of 5 yen per share amounts to a planned total of 23 yen per share.

Together with the 14 yen per share interim dividend (for the first two quarters of fiscal 2012) paid on December 3, 2012, this will amount to a total full-year dividend payout of 37 yen per share.

This plan will be placed on the agenda of the Company's Ordinary General Meeting of Shareholders scheduled for June, 2013.
