Establishment of "OMRON Corporate Governance Policies: Seeking Sustainable Enhancement of Our Corporate Value"

Following a resolution at the meeting of its Board of Directors held today, OMRON Corporation announced that the company has established "OMRON Corporate Governance Policies: Seeking Sustainable Enhancement of Our Corporate Value" (hereinafter referred to as the "Policies"). The details of the Policies are as follows:

  1. Background for the establishment of the Policies
    OMRON has recently revised the OMRON Principles and set forth a new Management Philosophy. Based on the revised OMRON Principles and newly defined Management Philosophy, OMRON has restructured its corporate governance initiatives and established the new Policies. These Policies uphold the aim and spirit of Japan's Corporate Governance Code, which became effective on June 1, 2015 as listing rules.

    (1) Revision of the OMRON Principles and Definition of the Management Philosophy
    With the aims of sustainably improving its corporate value and enhancing its management practices based on the OMRON Principles, OMRON introduced revised OMRON Principles in May 2015. In conjunction with this, OMRON also defined the Management Philosophy as a way to declare to all stakeholders OMRON's management stance and its approach to practicing the OMRON Principles through its business operations.

    (2) Commitment to Corporate Governance
    Over the past 20 years OMRON has strived to enhance the transparency and fairness of its management practices. As part of this drive, OMRON set up the Management Personnel Advisory Committee (now the Personnel Advisory Committee) in 1996 and invited outside directors to join the Board in 2001. Other steps included separating the position of the chair of the Board of Directors and the CEO, and the setup of optional advisory committees such as the CEO Selection Advisory Committee. Through these and other endeavors, OMRON is working proactively to promote effective corporate governance.

  2. Outline of the Policies
    (1) Structure
    Based on the newly defined OMRON Principles and Management Philosophy, OMRON compiled its basic stance and policies for maintaining and exercising effective corporate governance practices. As such, OMRON's Corporate Governance Policies are configured from the following provisions:

    Section 2   Stakeholder Relationships
    Section 3   Full Disclosure
    Section 4   Corporate Governance System

    (2) Relation with the Corporate Governance Code
    These Policies articulate that the OMRON Group's corporate governance system and initiatives comply with all of the principles stipulated in the Corporate Governance Code.
