OMRON EXPERT ENGINEERING Co., LTD. (hereinafter referred to as "OEG") defines this NON-DISCLOSURE AGREEMENT (hereinafter referred to as "AGREEMENT" on research participation (hereinafter referred to as "Participation") as follows.
Please read this document carefully before you apply for Participation as a registrant (hereinafter referred to as "Registrant").

The confidentiality of the Agreement refers to any knowledge and information (whether written or oral) disclosed by OEG or the executor of Participation (hereinafter referred to as "Executor") to Registrant including documents, drawings or any other material, and magnetooptic media such as floppy discs and magnetooptic discs utilized in the course of the work conducted by Executor. This AGREEMENT does not include the following:

• Knowledge or information generally known to the public at the time of disclosure
• Knowledge or information that Registrant obtained prior to the time of disclosure by lawful means from a third party without confidentiality agreement but with a proof.

Registrant shall not disclose any of the herein before mentioned confidential information (hereinafter referred to as "Confidential Information") to a third party. Registrant may, however, disclose Confidential Information with prior written consent of Executor.

Registrant shall use Confidential Information solely for the purpose of Participation but not any other purposes.

Registrant hereby agrees to indemnify Executor against any and all direct or actual damages incurred by Registrant within the extent deemed reasonably necessary. Provided, however, that this shall not apply to cases where it is revealed that Registrant fulfilled the obligations mentioned in the Agreement.

Any question arising out of, or in concern with, the Agreement or any matter stipulated herein shall be settled each time upon discussion between Executor and Registrant.
