Establishment of Omron Corporate Governance Policies

A timely decision

With the aim of sustainably increasing its corporate value, OMRON has continuously strived to enhance its corporate governance over some 20 years.1 Seeing the recent issuance of Japan's Corporate Governance Code (hereinafter referred to as the "Code") as a good opportunity, we have reexamined OMRON's corporate governance activities in the past and reorganized them to develop the new OMRON Corporate Governance Policies2 announced on June 24, 2015 (hereinafter referred to as the "Policies").

Around 2011, I was increasingly feeling the need for all employees to recognize and recommit themselves to our values, "Innovation Driven by Social Needs" and "Challenging Ourselves." It was becoming apparent that we must embrace them more strongly if we were to enhance OMRON's corporate value. From the very beginning, these values have served as the key drivers for OMRON's growth. Then in January of 2014, members of the Board as well as key senior leaders engaged in a discussion on the theme of "Sustainable Enhancement of Our Corporate Value." One conclusion we reached during this discussion was that we should promote more proactive corporate governance in order to achieve the goals of our long-term strategy (VG2020) set for the year 2020. It was also agreed that we should continue to enhance our corporate value after 2020 and beyond. Based on this discussion, we decided to revised the OMRON Principles which was officially announced in May 2015, renewing our determination to promote management practices based on the OMRON Principles even more aggressively. The process we took to reach this decision coincided with that of the development of the Code, which made our establishment of the Policies a very timely decision.

Putting our heart and soul into corporate policies

No matter how much time is spent formulating corporate systems or policies, they will not function effectively unless we breathe life into them. The OMRON Principles are the heart and soul for us. OMRON strives to enhance its sustainability by putting our heart and soul into various policies and rules. I think this is exactly where the uniqueness and core strengths of OMRON exist. Based on the OMRON Principles, we will strive to connect the entire process from oversight and supervision all the way through to business execution in a continuous, streamlined manner to speed up management decisions. We believe this is the right way to enhance OMRON's corporate value as a responsible corporation that continues to meet society's needs and live up to its high expectations. This is exactly what is meant by the enhancement of OMRON's corporate governance. In this regard, I think there is no such thing as the perfect form of corporate governance as we constantly face changes in our internal and external environment. We will need to continuously and sincerely contemplate what we should do to enhance our corporate value.

The globalization and diversity of the Board of Directors are challenges OMRON is facing. If a diverse group consisting of people of different genders, nationalities, and backgrounds are engaged in a discussion from varied perspectives, new discoveries will result. Based on this thought, the first step we took was to welcome Ms. Kuniko Nishikawa to the Board as an outside director in fiscal 2015. Through steps such as these, we are determined to continually address the challenges of globalization and diversity.

Looking ahead to the future, we will continue seeking sustainable enhancement of OMRON's corporate value. We will persevere in our efforts so that our stakeholders will continue to expect much from us as we head toward OMRON's centennial anniversary and beyond.
